Chairlink Terms of Service

1. Acceptance of Terms

By accessing or using the Chairlink platform, website, applications, and related services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms") and the Chairlink Privacy Policy. If you do not agree to these Terms, you may not access or use the Service.

These Terms constitute a legally binding agreement between you and Chairlink governing your access to and use of the Service.

2. Eligibility and Professional Representations

The Service is primarily intended for licensed dental professionals and individuals working within the dental profession.

By using the Service, you represent and warrant that:

  • All professional credentials you provide are accurate, current, and valid.
  • You are in good standing with applicable licensing authorities.
  • You are legally permitted to engage in professional discussions relating to dentistry.
  • Your participation complies with all professional and regulatory requirements applicable to you.

Chairlink reserves the right to verify credentials and may suspend or terminate accounts at its sole discretion if credentials cannot be verified or appear misleading.

3. Account Registration and Security

To access certain features of the Service, users must create an account. You agree that:

  • Information provided during registration is accurate and complete.
  • You will maintain the confidentiality of your login credentials.
  • You are responsible for all activities conducted through your account.
  • Accounts may not be transferred or assigned without prior written permission from Chairlink.

4. Platform Role and Neutrality

Chairlink operates solely as a technology platform facilitating connections between independent professionals. Chairlink:

  • Does not provide dental care
  • Does not supervise clinical decisions
  • Does not employ mentors
  • Does not guarantee professional advice

No employment, partnership, joint venture, agency, or supervisory relationship is created between Chairlink and any user.

5. Educational Nature of Services

Mentorship sessions, Coffee Chats, written consultations, and discussions available through the Service are intended solely for educational discussion and professional perspective sharing between users. These services do not constitute:

  • Clinical directives
  • Consulting agreements
  • Treatment plans
  • Professional supervision

All professional decisions remain the sole responsibility of the user.

6. Independent Professional Status

Mentors and mentees on Chairlink act as independent professionals. Mentors are not employees, agents, representatives, or contractors of Chairlink. Chairlink does not control or direct the advice provided by mentors.

7. User Content and License

Users retain ownership of any content submitted to the Service. By posting or submitting content, you grant Chairlink a perpetual, worldwide, royalty-free, non-exclusive license to host, display, reproduce, and distribute such content for purposes of operating and improving the Service.

8. Acceptable Use

Users agree not to:

  • Upload identifiable patient information
  • Violate applicable laws or regulations
  • Harass or threaten other users
  • Scrape or copy platform data
  • Interfere with the security or integrity of the Service

Chairlink reserves the right to remove content or suspend accounts at its sole discretion.

9. Confidentiality

Chairlink does not publish identifiable session content without consent. However, users are responsible for ensuring that any information shared through the platform is appropriately de-identified and compliant with applicable privacy regulations.

10. Coffee Chats

Coffee Chats are informal networking interactions between professionals. Participation in Coffee Chats is voluntary. Chairlink disclaims liability arising from interactions occurring through these sessions.

11. Payments, Booking Policies, Rescheduling, and Refunds

Payment at Booking

All paid services require payment at the time of booking through the platform.

Reservation of Mentor Time

Booking a session reserves dedicated time with a mentor. Because mentor time is reserved in advance, bookings are generally final once confirmed.

User-Initiated Rescheduling

Users may request to reschedule a session at least twenty-four (24) hours prior to the scheduled start time. Approved rescheduling requests are subject to a ten percent (10%) platform rescheduling fee.

Late Cancellations

Requests made within twenty-four (24) hours of the session are considered late cancellations and are not eligible for refunds or rescheduling.

No-Show Policy

If a user fails to attend the scheduled session, the session will be considered completed and no refund or credit will be provided.

Mentor Cancellations

If a mentor cancels or reschedules a session prior to its scheduled start time, the user may choose to reschedule the session or receive Chairlink platform credit. No rescheduling fee will apply when the change is initiated by the mentor.

Written Consultations

Message-based consultations are non-refundable once the mentor has provided a response.

Dispute Window

Users must report any issues regarding a session within twenty-four (24) hours after the scheduled session time.

Chargebacks

Users agree not to initiate chargebacks for services properly delivered through the Service. Chairlink reserves the right to suspend accounts that initiate chargebacks.

12. Mentor Earnings and Withdrawal Policy

Mentors earn funds through completed bookings on the platform.

Current Withdrawal Method (Temporary)

Until an automated withdrawal system is implemented, mentors may request withdrawals by emailing [email protected].

Withdrawal requests must include:

  • Account email
  • Requested withdrawal amount
  • Any required payment details

Withdrawals will be processed manually through Stripe or another payment method.

Processing Time

Manual withdrawals are typically processed within five (5) to ten (10) business days, subject to verification and payment processor requirements.

13. User Wallet Funds

Users may add funds to a Chairlink wallet to purchase services on the platform. At this time, users are not permitted to withdraw wallet funds. Wallet withdrawals will only be available once a withdrawal system is implemented by Chairlink.

14. No Guarantee of Outcomes

Chairlink does not guarantee clinical outcomes, treatment results, financial outcomes, professional advancement, or satisfaction with advice received. Refunds will not be granted solely based on disagreement with advice or perceived usefulness of a session.

15. No Clinical Responsibility

Mentorship sessions do not create:

  • A doctor-patient relationship
  • A clinical consulting agreement
  • A supervisory relationship

All diagnostic decisions and patient care remain the sole responsibility of the treating dentist.

16. Artificial Intelligence Disclaimer

AI tools on the platform are assistive technologies only. Chairlink does not guarantee the accuracy of AI outputs and disclaims liability arising from reliance on such outputs.

17. Off-Platform Transactions Prohibited

Users and mentors agree not to circumvent Chairlink's payment system or solicit payment outside the platform for services initially connected through Chairlink. Violation of this policy may result in suspension, termination, and recovery of lost platform fees.

18. Professional Credential Misrepresentation

Users must accurately represent professional credentials. Chairlink may suspend or terminate accounts for credential misrepresentation.

19. Patient Privacy and Protected Health Information

Users are strictly prohibited from uploading identifiable patient information or protected health information (PHI). Users are responsible for ensuring all case material shared on the platform has been properly de-identified in accordance with applicable privacy laws.

20. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind.

21. Limitation of Liability

To the fullest extent permitted by law, Chairlink's liability shall not exceed the lesser of $100 or the total fees paid in the prior twelve months.

22. Indemnification

Users agree to indemnify and hold Chairlink harmless from claims arising from their conduct, professional decisions, or violation of these Terms.

23. Arbitration and Class Action Waiver

All disputes shall be resolved by binding arbitration in Delaware. Users waive the right to participate in class actions.

24. Termination

Chairlink may suspend or terminate accounts at any time for any reason.

25. Governing Law

These Terms are governed by the laws of the State of Delaware.
